Approximately 10% of all small and mid-sized businesses do not qualify for traditional bank funding. Those that do not, seek alternative credit, like merchant cash advances (MCA). An MCA provides funding to those who don’t have time or the necessary credit or collateral for traditional funding methods. This comes with a higher cost of credit, but also the flexibility to deal with an ever changing business environment.

Class A investors will receive an annualized 12% cash yield which will be paid quarterly beginning the first quarter after the fund closes. Class B investors will not receive any cash flow during the holding period of the fund in exchange for compounding gains. Profits earned within the fund on behalf of Class B investors will be reinvested into more MCA loans to achieve compounded returns. Class B investors will earn an accrued 10% preferred return which will be ‘caught up’ upon fund liquidation before any promote split is earned by the sponsor

Yes. This private offering will not be registered under the U.S. Securities Act of 1933 and will be offered under the Regulation D exemption section 506(c) for accredited investors only. This is not an offer to buy or sell securities. An offer to buy or sell securities can only be made through a Private Placement Memorandum (PPM) and supporting investor documents including but not limited to the investor subscription agreement and company operating agreement.
Class B investors will exchange cash yield during the hold, for a compounding return on investment. The Fund will automatically reinvest Class B shareholder profits into more MCA loans throughout the life of the fund with the goal of keeping the profits earning more profits and growing the MCA assets within the fund.
Our operating partner, using their proprietary underwriting standards, will create offers for small and medium sized businesses every day. The fund will opt to participate in many of these deals, but also reserves the right to not participate in any specific deal.
This will be the responsibility of the operating partner and the fund manager.
Yes, the investments will represent a wide array of MCA’s. For example, a business needs $100,000 for a new pizza oven. They are underwritten and approved for a $100,000 advance; this fund will invest roughly $5,000-$10,000 in this advance and other institutional investors will fund the remainder. We will do this on a similar scale until all funds are deployed. To further explain, if the fund deploys $5,000,000 and allocates 10% into each $100k advance, the fund would have 500 different MCA’s that have been invested in.
A typical MCA will have a 7 month payback period, with repayments occurring on a daily or weekly basis.
